If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

PathPilot provides AI-powered career guidance and coaching services designed to help individuals navigate their career paths. Our Services include:

If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without restriction or compensation to you.

Career decisions involve many factors beyond our control. You acknowledge that you use the Services at your own risk and are solely responsible for your career decisions.

To the maximum extent permitted by applicable law:

In no event shall PathPilot's total liability to you for all claims arising from or related to the Services exceed the greater of (a) the amount you paid to PathPilot in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless PathPilot and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any content you submit to the Services
• Your negligent or wrongful conduct

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Services will immediately cease.

Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Conduct that we believe is harmful to other users or PathPilot
• Extended periods of inactivity
• Requests by law enforcement or government agencies

Effect of Termination

Upon termination, provisions of these Terms that by their nature should survive will remain in effect, including intellectual property provisions, disclaimers, limitations of liability, and indemnification obligations.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising from or relating to these Terms or the Services shall be resolved through the following process:

1. Informal Resolution: We encourage you to contact us first to seek an informal resolution.
2. Mediation: If informal resolution fails, the parties agree to attempt mediation before pursuing other remedies.
3. Arbitration: Any unresolved disputes shall be settled by binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
